Terms of Service

1. Agreement to Terms

By accessing or using zipe.ai ("the Service"), operated by zipe.ai ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and customers of the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

zipe.ai provides AI visibility analysis and search engine optimization tools. The Service analyzes websites to determine how they appear in AI-powered search results and provides recommendations for improvement. Our offerings include:

• Snapshot Reports (Free): Basic AI visibility analysis with 5 core checks, limited to 1 per month for registered users.
• Fixer Reports ($129): Comprehensive analysis with 20+ checks, actionable fixes with code, generated assets, PDF export, and 30 days of free rescans.
• Consultant Reports ($499): Everything in Fixer plus a 1-on-1 video audit, custom implementation roadmap, session recording, and 30-day email support.
• Pro Subscriptions ($89/month): 5 deep dive credits per month with all analyzers and PDF exports.
• Agency Subscriptions ($249/month): 20 deep dive credits per month with white-label reports and team access.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Payments and Billing

4.1 One-Time Reports

Fixer and Consultant reports are one-time purchases processed through our payment processor. By purchasing a report, you authorize us to charge the applicable fee to your payment method. All prices are in US dollars unless otherwise stated.

4.2 Subscriptions

Pro and Agency subscriptions are billed on a recurring monthly or annual basis. Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

4.3 Rescans

Fixer and Consultant reports include 30 days of unlimited rescans for the same URL. Rescans after the 30-day window require a new report purchase or an active subscription.

4.4 Refunds

One-time report purchases are eligible for a refund within 7 days of purchase if no report has been generated or if the report failed due to a technical error on our part. Subscription refunds are handled on a case-by-case basis. To request a refund, contact support@zipe.ai.

5. Acceptable Use

You agree not to use the Service to:

• Scan websites you do not own or have authorization to analyze
• Attempt to overwhelm our systems with excessive automated requests
• Reverse-engineer, decompile, or disassemble any part of the Service
• Circumvent usage limits, rate limits, or access controls
• Resell, redistribute, or sublicense the Service without written permission
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

6.1 Our Content

The Service, including its design, features, code, algorithms, and documentation, is owned by zipe.ai and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of the websites and content you submit for analysis. By using the Service, you grant us a limited license to access, fetch, and analyze your website content solely for the purpose of providing our analysis services.

6.3 Generated Assets

Assets generated by the Service (such as llms.txt files, JSON-LD schema, and report PDFs) are provided for your use. You may use these assets freely on your own websites. However, the analysis methodology and scoring algorithms remain our intellectual property.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Analysis results will be accurate, complete, or current
• Implementing our recommendations will guarantee improved AI visibility or search rankings
• AI platform behavior will remain consistent over time

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless zipe.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Service or violation of these Terms.

10. Third-Party Services

The Service integrates with third-party services including:

• Payment Processing: Secure payment handling via our payment processor
• OpenAI and Anthropic: AI analysis capabilities
• Google OAuth: Optional account authentication

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which zipe.ai operates, without regard to conflict of law principles.
